Terms of Service

These Terms of Service ("Terms") govern your access to and use of Saltline, operated by [Your Legal Entity Name] ("Saltline," "we," "us"). By creating an account or using the service, you agree to these Terms in full.

1. The service

Saltline is a subscription software service for restaurant operators. It integrates with the Toast POS platform to collect order data, trains machine learning models to predict daily prep requirements, generates morning prep lists, tracks inventory and waste, and provides kitchen communication tools.

The service is designed for mid-sized seasonal and year-round restaurants, primarily in the coastal New England region, though it is available to any qualifying restaurant with access to a Toast POS system.

2. What Saltline does not guarantee

This section is important. Please read it carefully.

No guarantee of sales improvement. Saltline is an operational tool. It does not generate customer traffic, increase your revenue, or guarantee any improvement in sales figures. Predictions about daily volume are estimates, not commitments.

No guarantee of waste reduction. Saltline provides data and recommendations intended to reduce food waste. Actual waste reduction depends on how the tool is used, how accurately inventory is counted, whether prep recommendations are followed, and many factors outside our control. We make no guarantee that using Saltline will reduce your food costs by any specific amount.

No guarantee of model accuracy. The machine learning models used to generate prep lists and predictions are statistical estimates, not certainties. They will be wrong at times — this is a fundamental property of predictive modeling, not a defect. In particular:

• During the first weeks of use, your restaurant-specific model has limited training data and will rely primarily on a generalized baseline model. Predictions during this period should be treated as rough guidance, not precise instructions.
• Unusual events, extreme weather, last-minute local cancellations, supplier shortages, and other unpredictable factors may cause the model to significantly under- or over-predict.
• The model improves as it accumulates more data from your specific restaurant over time. Full accuracy benefits typically require at least one complete operating season.

Cold start period. A new restaurant account begins in a "cold start" state where no restaurant-specific model exists. During this period, Saltline uses a generalized baseline model trained on aggregated data from participating restaurants. This baseline is useful but will not reflect your restaurant's specific patterns. We cannot guarantee any specific accuracy level during the cold start period.

You remain responsible for your kitchen. Prep list recommendations are advisory. Your management team retains full responsibility for all operational decisions, including how much to prep, what to order, and how to staff your kitchen. Saltline is a tool that supports those decisions — it does not replace professional kitchen management judgment.

3. Eligibility and account requirements

To use Saltline, you must:

• Be at least 18 years old
• Have authority to bind the restaurant or business you are registering
• Have an active Toast POS subscription at the RMS Essentials tier or higher
• Have the "Manage Integrations" permission in your Toast account in order to generate API credentials

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at [your contact email] if you believe your account has been compromised.

4. Toast API access and third-party dependency

Saltline's core functionality depends on the Toast POS platform and its API. By connecting Toast to Saltline, you authorize us to access your Toast account data in read-only mode using the API credentials you provide.

You acknowledge that:

• Toast is a third-party platform operated independently of Saltline. Changes to Toast's API, pricing, terms, or availability are outside our control.
• If Toast modifies or revokes API access, restricts our access tier, or changes the data available through their API, Saltline's functionality may be reduced or interrupted. We are not liable for service degradation caused by Toast platform changes.
• You must maintain a qualifying Toast subscription for Saltline to function. Downgrading your Toast plan may break the integration.

5. Subscription and billing

Active subscription. The standard Saltline subscription is billed at $329 per month during your active operating season. This grants full access to all features including prep list generation, inventory management, barcode scanning, ML predictions, and kitchen communication tools.

Inactive subscription. During off-season months when your restaurant is not operating, you may reduce to the inactive tier at $39 per month. This retains your data, keeps your models trained and ready, allows access to the sandbox mode, and ensures your spring re-activation is immediate. You remain responsible for managing which tier applies to your account each month.

Hardware. Kiosk tablets included with a qualifying subscription contract are provided as a convenience, not as a sale. Tablets remain the property of Saltline and must be returned upon cancellation. Failure to return tablets within 30 days of cancellation may result in a replacement fee not to exceed the retail cost of the device.

Billing. Billing is handled by Polar.sh. By subscribing, you authorize recurring charges to your payment method on file. You are responsible for keeping your payment information current.

Refunds. Subscription fees are non-refundable except where required by law. If you believe a charge was made in error, contact us within 30 days of the charge.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. Your data will be retained for 90 days after cancellation.

6. Your data

You own your restaurant's data. This includes your order history, inventory records, menu data, and any operational information you input into Saltline.

By using the service, you grant Saltline a limited, non-exclusive license to store, process, and use your data for the purposes described in the Privacy Policy — specifically, to provide you with the service, to train your restaurant's prediction models, and to improve the baseline model using anonymized and aggregated data.

We do not claim ownership of your data. If you cancel and request deletion, we will delete your identifiable data as described in the Privacy Policy.

7. Acceptable use

You agree not to:

• Use Saltline to violate any applicable law or regulation
• Provide false or misleading information about your restaurant or its operations
• Attempt to access another subscriber's data
• Reverse engineer or copy any part of the service
• Use the service in a manner that could harm other users or the platform

8. Limitation of liability

To the maximum extent permitted by applicable law, Saltline and its operators shall not be liable for:

• Lost profits, lost revenue, or lost business opportunities, even if we were advised of the possibility of such losses
• Over-preparation or under-preparation of food based on model predictions
• Food spoilage, waste, or 86'd menu items arising from prediction errors
• Any indirect, incidental, special, consequential, or punitive damages

Our total liability for any claim arising out of or related to this agreement shall not exceed the total amount you paid us in the three months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Warranty disclaimer

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that predictions will be accurate.

10. Termination

We may suspend or terminate your account if you violate these Terms, if your payment method fails and is not updated within 14 days, or if we determine that continued access poses a risk to the platform or other users. We will provide reasonable notice before termination except in cases of security risk or severe policy violation.

You may terminate your account at any time by canceling your subscription and contacting us to request data deletion.

11. Third-party services

Saltline integrates with several third-party services including Toast, Cloudflare, Open Food Facts, NOAA, Open-Meteo, PredictHQ, Polar.sh, Google (authentication), and Anthropic (support chat). These services are governed by their own terms of service and privacy policies. We are not responsible for the practices or availability of third-party services.

12. Changes to terms

We may update these Terms to reflect changes in the law, our business, or the service. We will notify you of material changes at least 14 days in advance by email or in-app notice. Continued use of the service after the effective date of changes constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Maine, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in York County, Maine, and you consent to personal jurisdiction in those courts.

14. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Saltline regarding the service and supersede all prior communications or agreements relating to the subject matter.
